01. Project Overview 

Philo Creatives has provided the following service(s) to the Client:

Project specifications, scope, and deliverables are based on the applicable Statement of Work (“SOW”), proposal, quotation, or original Service Agreement.

02. Final Deliverables

The following final deliverables have been completed and provided to the Client:

03. Client Acknowledgment & Acceptance

By signing this Agreement, the Client acknowledges and confirms that: All agreed final deliverables have been received.

The deliverables substantially meet the specifications and scope agreed in the applicable SOW or Service Agreement.

The Client has reviewed the completed work.

The Client has had the opportunity to request revisions in accordance with the agreed revision terms.

The Client accepts the project as complete, subject to any written exceptions specifically identified before signing.

If no exceptions are listed, the project will be considered fully accepted upon signature.

04. Project Completion & Further Claims

Upon signing this Agreement, the Client confirms that the project has been completed and accepted.

Except for rights that cannot legally be waived, matters specifically reserved in writing, or obligations that survive completion under the original agreement, the Client agrees not to raise further claims relating to deliverables that have been reviewed and accepted through this sign-off.

The Client also agrees not to initiate improper or unsupported:

• Payment disputes
• Chargebacks
• Claims relating to accepted deliverables

Nothing in this section limits rights or remedies that cannot legally be excluded under applicable law.

05. Maintenance & Post-Delivery Responsibility

Unless the Client has purchased an ongoing maintenance or support service, Philo Creatives is not responsible for ongoing maintenance, updates, management, or monitoring of the completed project after final handover.

Following sign-off, the Client is generally responsible for matters including:

• Website updates
• Content changes
• Plugin or software updates
• Hosting management
• Domain management
• Security monitoring
• Product updates
• Third-party platform changes
• Ongoing technical management
• Other post-delivery maintenance

If the Client subscribes to a separate maintenance, support, SEO, social media, or ongoing service plan, those responsibilities will be governed by the applicable agreement.

Any additional work requested after project completion may be quoted separately.

06. Intellectual Property Rights

Subject to full payment and the terms of the original Service Agreement, the Client will receive the agreed rights to the final approved deliverables.

Unless otherwise agreed in writing, Philo Creatives may retain ownership of:

• Drafts
• Rejected concepts
• Internal working files
• Templates
• Frameworks
• Pre-existing code
• Processes
• Development tools
• Licensed third-party resources
• Materials not included in the final handover

Third-party assets remain subject to their applicable license terms.

Philo Creatives may display completed public-facing work in its:

• Portfolio
• Case studies
• Social media
• Presentations
• Marketing materials

unless the Client has expressly restricted such use in writing and Philo Creatives has agreed to that restriction.

07. Final Payment

The Client confirms that all payments due under the project have been:

Where a balance remains due, intellectual property transfer, source files, credentials, or other final rights may remain subject to full payment under the original Service Agreement.

Signing this form does not waive any outstanding payment obligation.

08. Access & Handover Confirmation

Where applicable, the Client confirms receipt of or access to the agreed project materials, which may include:

• Website administration access
• Hosting credentials
• Domain access
• CMS access
• Ecommerce administration access
• Source files
• Design files
• Brand assets
• Documentation
• Reports
• Other agreed credentials or files

The Client is responsible for securely storing credentials and files after handover.

09. Third-Party Platforms & Services

The Client understands that some deliverables may rely on third-party services such as:

• Hosting providers
• Domain registrars
• Payment gateways
• Ecommerce platforms
• Plugins
• APIs
• Social media platforms
• Search engines
• Analytics systems
• Content management systems

Philo Creatives does not control these third-party providers and cannot guarantee their future availability, pricing, policies, compatibility, security, performance, algorithms, or functionality.

Changes made by third parties after handover may require additional work.

10. Legal Effect & Dispute Resolution

This Agreement forms part of the broader contractual relationship between Philo Creatives and the Client and should be read together with the applicable:

• Service Agreement
• Statement of Work
• Terms & Conditions
• Refund Policy
• Privacy Policy

Any dispute relating to this sign-off or the completed project should first be addressed through a reasonable good-faith effort between the parties.

Where the matter cannot be resolved directly, it may proceed to mediation, non-binding arbitration, or another dispute-resolution process provided for in the original agreement and permitted by applicable law.

Client Confirmation

By signing below, the Client confirms that they have reviewed and accepted the final project deliverables and acknowledges the project completion and handover terms stated above.

The Client further confirms that the information provided in this form is accurate to the best of their knowledge.
