Last Updated: 4th September 2026

These Terms & Conditions (“Terms”) govern your relationship with Philo Creatives (“Philo Creatives,” “Agency,” “we,” “our,” or “us”) when you access our website, engage our services, approve a proposal, or make a payment.

Philo Creatives is a legal entity associated with Brandigo. References to Philo Creatives throughout these Terms relate to the services, agreements, and obligations entered into under the Philo Creatives brand unless expressly stated otherwise.

By using our services or entering into an agreement with us, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you should not use or engage our services.

1. Acceptance of Terms

You agree to these Terms when you:

  • Engage Philo Creatives for a project or service
  • Sign or approve a proposal, quotation, agreement, or Statement of Work
  • Submit any project payment
  • Authorize us to begin work
  • Use any service or deliverable supplied by Philo Creatives

Any project-specific agreement, proposal, quotation, or Statement of Work may contain additional terms. Where project-specific terms conflict with these general Terms, the signed project agreement will apply to the extent of that conflict.

2. Scope of Services

Philo Creatives provides creative, development, content, and digital marketing services, including but not limited to:

  • Logo Design
  • UI/UX Design
  • Web Development
  • Ecommerce Development
  • Content Writing
  • Social Media Marketing
  • Search Engine Optimization
  • Digital strategy
  • Website maintenance and support
  • Related creative and digital services

The exact scope, deliverables, timelines, revisions, responsibilities, and pricing for each project will be outlined in the relevant proposal, quotation, service agreement, or Statement of Work (“SOW”).

Any work requested outside the agreed scope may require additional time and fees.

3. Payment Terms

Projects may require an upfront deposit before work begins. Unless otherwise agreed in writing, deposits are non-refundable once work has commenced.

Payment schedules, milestone payments, balances, and due dates will be stated in the applicable proposal, invoice, or SOW.

Clients agree to:

  • Pay invoices according to the agreed payment schedule
  • Make milestone payments before the next project stage begins where applicable
  • Settle the final balance before final files, source files, credentials, or completed deliverables are transferred where applicable

If payment is overdue, Philo Creatives may pause work, delay delivery, withhold deliverables, or suspend ongoing services until the outstanding amount has been paid.

Late payments may also be subject to additional charges where specified in the applicable agreement.

4. Automatic Payment Authorization

Where the Client has authorized Philo Creatives to retain or charge a payment method, the Client authorizes payment of outstanding agreed amounts in the circumstances described below, subject to applicable law and the relevant service agreement.

Client Non-Responsiveness

If the Client fails to respond to requests for feedback, approval, project information, or payment for seven (7) days after a request or agreed milestone date, Philo Creatives may charge any outstanding project balance that has become due under the agreement.

Use of Deliverables Before Full Payment

If the Client publishes, distributes, uses, launches, or otherwise benefits from deliverables before making the full payment required under the agreed schedule, Philo Creatives may charge the remaining amount due.

Payment Discrepancies

Where a payment issue or discrepancy is brought to the Client’s attention and remains unresolved for seven (7) days, outstanding amounts may be charged to an authorized payment method on file where legally permitted.

Late Payment Fees

Overdue balances may incur a late payment charge of up to 10% per month, where permitted by applicable law and provided for in the Client’s agreement.

Client Cancellation

If the Client cancels or terminates a project after work has begun, Philo Creatives may charge for:

  • Work already completed
  • Time already spent
  • Approved milestones
  • Resources committed to the project
  • Third-party expenses or purchases
  • Other amounts that have become payable under the agreement

5. Client Responsibilities

To help us deliver projects efficiently, the Client agrees to:

  • Provide accurate project information
  • Supply requested content, files, credentials, brand materials, and other required assets
  • Provide timely and constructive feedback
  • Review and approve work within agreed timelines
  • Maintain accurate email, phone, billing, and contact information
  • Make payments when due
  • Ensure that materials supplied to Philo Creatives may legally be used for the project

Delays in providing feedback, materials, approvals, access, or payments may affect project timelines.

Where delays significantly affect scheduling or resource allocation, additional charges or revised delivery dates may apply.

6. Revisions

The number of revisions included with a project will be stated in the relevant proposal or SOW.

Included revisions are intended for reasonable adjustments to work produced within the approved project direction.

A revision does not normally include:

  • A completely new concept after an existing concept has been approved
  • A substantial change in project direction
  • New pages, features, functions, or deliverables
  • Work outside the agreed scope
  • Rework resulting from previously approved decisions being reversed

Additional revisions or scope changes may be quoted separately.

7. Confidentiality

Philo Creatives and the Client agree to use reasonable care to protect confidential, commercially sensitive, proprietary, or non-public information shared during the project.

Neither party should disclose such information to an unrelated third party without authorization, except:

  • Where disclosure is required by law
  • Where disclosure is required to approved contractors or service providers to deliver the project
  • Where the information is already publicly available through no breach of confidentiality

Confidentiality obligations may continue after the project has ended.

8. Intellectual Property Rights

Unless otherwise stated in the applicable agreement, final approved deliverables become available for the Client’s agreed use once all amounts due for the project have been paid in full.

Upon full and final payment, the Client will receive the agreed rights to final deliverables specified in the project agreement.

Confidential information will not intentionally be disclosed as part of such use.

9. Project Inactivity & Reactivation

A project may be considered inactive where the Client stops responding, supplying materials, reviewing work, or otherwise participating in the project.

If a project remains inactive for 90 days, Philo Creatives may place it on hold or archive the project.

Where a separate Refund Policy applies to a service, that policy should be read together with these Terms.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Philo Creatives will not be liable for indirect, incidental, special, exemplary, or consequential loss arising from the use of our services or deliverables.

This may include loss relating to:

  • Revenue
  • Profits
  • Business opportunities
  • Data
  • Search rankings
  • Advertising performance
  • Platform availability
  • Third-party services
  • Business interruption

Where liability cannot legally be excluded, Philo Creatives’ total liability arising from a particular project will not exceed the total amount actually paid to Philo Creatives for that specific project, unless applicable law requires otherwise.

The Client is responsible for reviewing and approving final deliverables before publication, launch, printing, distribution, advertising, or other public use.

14. Third-Party Platforms and Services

Some projects depend on third-party services such as:

  • Hosting providers
  • Domain registrars
  • Payment gateways
  • Ecommerce platforms
  • Social media platforms
  • Search engines
  • Advertising platforms
  • Plugins
  • APIs
  • Analytics systems
  • Content management systems

Philo Creatives does not control these third parties and cannot guarantee their uninterrupted availability, policies, performance, rankings, algorithms, security, or continued compatibility.

Changes made by third-party providers may require additional work outside the original project scope.

15. No Guarantee of Specific Marketing Results

For services such as SEO, social media marketing, content marketing, and other digital campaigns, Philo Creatives will apply agreed strategies and professional efforts but does not guarantee a specific:

  • Search engine ranking
  • Number of inquiries
  • Revenue level
  • Sales volume
  • Follower count
  • Engagement rate
  • Traffic increase
  • Conversion rate

Marketing performance can be affected by competition, market conditions, platform algorithms, customer behavior, budgets, website performance, and factors outside our control.

16. Dispute Resolution

If a dispute arises, the Client and Philo Creatives agree to first make a reasonable good-faith effort to resolve the matter directly.

Where the issue cannot be resolved informally, the parties may attempt mediation before pursuing formal proceedings.

If mediation does not resolve the issue, the matter may be referred to arbitration or another appropriate dispute-resolution process where agreed or permitted under applicable law.

Nothing in this section prevents either party from exercising rights that cannot legally be restricted.

17. Cancellation and Termination

Either party may terminate a project where permitted under the relevant agreement.

If a Client terminates work after a project has started, payment remains due for:

  • Work completed
  • Approved milestones
  • Time spent
  • Third-party expenses
  • Non-cancellable commitments
  • Other charges already incurred

Philo Creatives may suspend or terminate services where the Client materially breaches an agreement, including through continued non-payment, unlawful conduct, misuse of services, or prolonged failure to participate in the project.

18. Changes to These Terms

Philo Creatives may update these Terms periodically to reflect changes in our:

  • Services
  • Business practices
  • Legal obligations
  • Payment processes
  • Communication practices

The latest version will be published on our website with an updated revision date.

Where appropriate, material changes may also be communicated directly to Clients.

Continued use of our services after updated Terms take effect may constitute acceptance of those revised Terms where permitted by applicable law.

19. Governing Law

These Terms will be governed by the laws applicable to the legal jurisdiction under which Philo Creatives enters into the relevant Client agreement.

Where the contracting entity or applicable agreement specifies a particular jurisdiction, that jurisdiction will govern the agreement and related proceedings.
